Terms of Service

These terms govern use of Cadence, a product of Modula Health, Inc. (“Modula,” “we,” “us”). By completing the Cadence opt-in form or using Cadence, you agree to these terms and to the Privacy Policy. If you do not agree, do not opt in or use the service.

What Cadence is

Cadence is an SMS and web companion that helps patients recall and capture the plan in their own words between therapy or medication-management sessions, and helps clinicians see those words before the next visit. The clinician confirms; Cadence does not author a care plan, make diagnoses, or give medical advice.

Cadence is for adults 18 and older in the United States who opt in on the public web form (on their own, or after a clinician invite) or who are invited by Modula.

What Cadence is not

  • Not emergency care, not a crisis line, and not monitored 24/7 by a person.

  • Not a replacement for your clinician, pharmacy, or 911.

  • Not a guarantee that you will attend sessions or follow a plan.

If you are in danger, call 911. For mental-health crisis support in the US, call or text 988. If Cadence detects crisis language, it may send an automatic 988 message. That is not a human response and does not notify your clinician.

SMS program

After you opt in on the web form, Cadence may send recurring SMS and MMS (including voice memos and photos you send). Message and data rates may apply. Frequency is typically a few messages per week and may increase around appointments. Reply STOP to opt out. Reply HELP for help. You may also email contact@modulahealth.io.

SMS is not a secure channel. You agree that messages can be seen by anyone who can access your phone, carrier logs, or the thread.

Your responsibilities

  • Provide a mobile number you control and keep it current.

  • Do not invite or opt in anyone 17 or under.

  • Do not use Cadence to seek emergency help.

  • Understand that quotes and plans stored in Cadence are what you (or your clinician) entered, not an independent medical judgment by Modula.

Clinician invites and patient-named clinicians

If you invite a patient, you represent that you are authorized to use their number for this invite, and that Cadence will still require the patient’s own opt-in on the web form before recurring messages. If a patient names you and your email on the opt-in form, we email you a link to confirm they are in your care; we do not put their mobile number in that email. If they do not have your email, they get a link to share with you instead. You are responsible for your professional obligations. Cadence is a stenography and reminder tool, not clinical decision support that interprets or advises.

Accounts and links

Cadence does not use passwords. Signed links expire and may be single-use. Keep links to yourself. We may suspend access if we suspect abuse, fraud, or harm.

Intellectual property

Modula owns Cadence and its branding. You retain your words. You grant Modula a license to process those words solely to provide Cadence as described in the Privacy Policy.

Disclaimer

CADENCE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODULA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free SMS delivery. Carriers may delay or block messages until messaging registration is approved.

Limitation of liability

To the maximum extent permitted by law, Modula is not liable for indirect, incidental, or consequential damages, or for missed sessions, missed medication, or health outcomes. Our total liability arising from Cadence will not exceed one hundred US dollars (US $100). Some states do not allow certain limits; in those states, our liability is limited to the fullest extent allowed.

Changes and termination

We may change these terms or stop offering Cadence. Continued use after a posted change means you accept the new terms. You may stop at any time by replying STOP and ceasing use. We may delete or export data as described in the Privacy Policy.

Governing law

These terms are governed by the laws of the United States and the state in which Modula is organized, without regard to conflict-of-law rules, except where a mandatory consumer law of your state applies.

Privacy Policy

This policy describes how Modula Health, Inc. (“Modula,” “we,” “us”) handles information when you use Cadence, our SMS-based care continuity companion. It is written for patients who opt in on their own or after a clinician invite, and for the clinicians they name or who invite them.

Cadence is for adults 18 and older. It is not an emergency service and is not monitored in real time.

SMS, message frequency, and your mobile number

Message and data rates may apply. After you opt in, you may receive a few messages per week. Frequency can increase around appointments (for example, reminders the day before and the day of a session). You can reply STOP at any time to stop Cadence texts. Reply HELP for help.

We do not sell, rent, or share your mobile phone number with third parties or affiliates for marketing or promotional purposes. We do not share your mobile number with third parties except the processors listed below, who use it only to send, receive, or store Cadence messages on our instructions. We use your number only to send and receive Cadence messages you opted into, and to operate, secure, and improve that service.

SMS is not an encrypted or secure channel. You acknowledge that when you opt in. Clinical depth (full plan, quotes, documents) is meant to live behind signed web links, not in SMS bodies, but any text you send may still include information you consider sensitive.

What we collect

  • Mobile number, preferred time window, and appointment times you send us.

  • Texts, voice memos, and photos you send to Cadence, including transcriptions of voice memos.

  • Plan items and quotes in your words, and whether you confirmed them.

  • Consent checkboxes and timestamps.

  • Clinician name, email, and practice if you choose to share them at opt-in or if a clinician invites you. First and last name, if you give them, so we can tell your clinician who opted in. We do not put your mobile number in that clinician email.

  • Technical logs needed to run the service (for example, delivery metadata from our SMS provider).

We do not require a password. Access to deeper views uses a time-limited signed link sent to you or your clinician.

How we use information

  • To text you the Cadence prompts you opted into and to capture, echo, and confirm your plan.

  • To remind you of sessions you told us about and to send a join link when you have one.

  • To email your clinician a brief of your words (not a clinical interpretation) before a session.

  • To keep an audit trail of what was stated, confirmed, or corrected.

  • To operate, debug, and secure the service, and to comply with law.

We do not use Cadence data to sell ads. We do not build a public scoreboard, streak, or engagement ranking.

Who processes information for us

We use service providers to operate Cadence (for example to send SMS, host the app, store data, and transcribe it if you send a voice memo). They may process information only to provide that service. They are not allowed to use your mobile number for their own marketing.

Cadence is a care-continuity product. It is not for emergencies and is not monitored in real time. We never sell your information or share it for advertising. You can see what we have, stop texts at any time by replying STOP, or email privacy@modulahealth.io to ask us to delete it.

Crisis language

If a message looks like a crisis, Cadence may automatically reply with the 988 Suicide & Crisis Lifeline. That channel is not monitored by a person at Modula. If you are in danger, call 911 or 988.

Retention and deletion

We keep Cadence records for as long as needed to provide the service and to keep a care continuity history, unless you or your clinician ask us to delete them or law requires otherwise. Opting out of SMS (STOP) stops texts; it does not by itself erase stored history. Email privacy@modulahealth.io to request deletion or a copy of what we hold.

Your choices

  • Do not complete the opt-in form if you do not want texts.

  • Reply STOP to leave the SMS program.

  • Reply HELP for SMS help.

  • Email privacy@modulahealth.io for access, correction, or deletion requests.

Children

Cadence is not directed at children under 18. We do not knowingly collect their information.

Changes

We reserve the right to modify this policy at any time. The “Last updated” date will change. Material SMS-program changes will be reflected here and, where required, in how we describe the program to carriers.
